Vesk Terms of Service

Last updated October 2, 2026

These Terms govern your use of Vesk’s website, Vesk Simulation Coding Agent, desktop application, command-line interface, hosted model service, and API and Model Context Protocol (MCP) access where available (together, the “Service”). The Service helps generate robotics software and evaluate it in simulation. A simulation result does not establish that a physical robot is safe.

1 Agreement and eligibility

These Terms are between Vesk, Inc., a Delaware corporation (“Vesk,” “we,” “us,” or “our”), and the person or organization accepting them (“you”). They take effect for you when you affirmatively accept them through an account, installation, or order process that presents these Terms. If you do not agree, do not activate or use the Service. If you accept for an organization, you represent that you have authority to bind it.

The Service is currently offered only to individuals and organizations based in the United States. You represent that you or the organization you act for are based in the United States. You must be at least 18 years old and legally able to enter into this agreement. Provide accurate account information, protect your credentials and API keys, and promptly report suspected unauthorized access to support@vesk.app. You are responsible for use you authorize and for users acting under your organization’s account, subject to applicable law.

The Vesk Privacy Policy explains our handling of personal information. Acceptance of these Terms does not itself constitute consent to optional marketing, model training, or optional central metrics collection.

2 Service and permitted access

Vesk helps generate ROS 2 software from supported robot descriptions and tasks, and attempts to test and repair that software in the simulation environment identified for the run. Available features, input formats, integrations, models, and interfaces depend on the release and your plan. API and MCP access are ways to use the Service and do not guarantee access to a separate product or every feature.

Subject to these Terms and your order, we grant you a limited, nonexclusive right to install and use the software and access the hosted features made available to your account for the subscription or access period. You may not transfer or sublicense access except as expressly permitted by your team plan or a separate agreement. This permission does not transfer ownership of Vesk’s software, documentation, branding, models, or infrastructure. Identified open-source components remain governed by their respective licenses, which these Terms do not restrict.

The Service is early-stage software. Preview or beta features may change, fail, or be discontinued. Free or trial access does not promise continued free access or a public release. No uptime, support-response, or service-level guarantee applies unless expressly included in a signed agreement. Material reductions to prepaid service are subject to Section 11 and any mandatory rights.

3 Local processing and external services

Robotics orchestration, generated-code execution, and simulation run on your computer in the local workflows. Hosted model use transmits a request through Vesk to a model provider and creates usage and billing records. Requests may contain task text, derived robot information, retrieved context, and earlier generated files used for repair. The hosted service stores generated responses. Local execution does not mean all inputs or code remain on your device.

You are responsible for your local environment, backups, permissions, and credentials. Vesk does not operate your physical robot. A direct-provider configuration using your own account is also subject to that provider’s terms, settings, and charges.

Optional connectors, repository exports, and external API or MCP clients may send information to or receive information from services you choose. Authorize only the access and actions you intend, review requested permissions, and protect access tokens. Third-party services operate under their own terms and privacy notices. Revoking access stops future authorized access but does not recall copies already transferred. A third-party client may independently retain your prompts, outputs, or tool activity.

4 Meaning and limits of verification

VERIFIED means only that the generated package ran in the identified containerized ROS 2 simulation for that run and satisfied the declared gating checks that actually executed. Skipped checks are outside the result. Timing, publish-rate, or deadline checks designated non-gating do not establish that a real-time requirement was met.

A VERIFIED result is not a statement that code is generally correct, secure, safe, fit for a particular purpose, or validated on physical hardware. It is not certification, regulatory approval, a functional-safety assessment, or independent assurance for a safety case. Simulation may omit or inaccurately represent sensing, actuation, contact, timing, wear, failures, and environmental conditions.

ADVISORY identifies an offline simulated-physics observation of the declared mechanism and scenario. That evaluation does not execute the generated code, promote it to VERIFIED, or establish hardware performance. NO DATA means no qualifying observation was obtained; it is not a zero-percent pass rate. ERROR, NOT ATTEMPTED, STOPPED, billing stops, and other unsuccessful outcomes are not successful verification.

Read the report’s scope, environment, trial counts, checks, skipped checks, and failure categories. Repeated trials describe their own observations and do not broaden a single-run verdict. An embedded digest is a content hash, not a Vesk signature or proof of authorship, trusted timing, or tamper resistance. Keep copies of reports you need; we do not promise to reconstruct lost local reports.

5 Physical deployment and safety

Before deploying generated code, independently review and test it, assess hazards, conduct integration testing, and implement the protective measures and approvals appropriate to your system. Do not rely on Vesk to implement or validate emergency stops, protective controls, safety functions, or other safeguards.

You must not represent a Vesk result as certification or approval of a physical system’s safety. You are responsible for selecting competent personnel, supervising hardware trials, following applicable standards and laws, and taking reasonable measures to prevent injury or property damage. Nothing in these Terms excludes a duty or liability that applicable law does not permit to be excluded.

6 Acceptable use

Use the Service lawfully and comply with the applicable usage restrictions of the model provider identified for your workflow. Anthropic’s Usage Policy is available at https://www.anthropic.com/legal/aup. Provider restrictions apply in addition to these Terms; a permitted-use example does not override a prohibition.

You must not use the Service to engage people with weapons, including selecting human targets, computing firing solutions against people, or firing, releasing, or detonating weapons against people, whether lethal or described as non-lethal. Do not use the Service for unlawful surveillance, exploitation, infringement, unauthorized access, malicious code, fraud, or other unlawful activity.

Do not bypass access controls, metering, spending controls, policy screening, or rate limits; impersonate another user; interfere with the Service; or resell the hosted proxy as an unrestricted model API. Do not submit information you lack permission to disclose or regulated information requiring agreements or safeguards that are not in place.

An industry, employer, or platform designation does not establish that a particular use is permitted. Automated screening can refuse requests and can make mistakes. Passing a screen does not authorize conduct prohibited by these Terms, provider terms, or law. For a suspected mistaken refusal, contact support@vesk.app without sending restricted operational details unnecessarily. Review does not guarantee a particular outcome or response time.

7 Inputs and generated output

You retain your rights in inputs you provide and represent that you have the rights and permissions necessary for Vesk and its providers to process them. You grant Vesk a limited license to receive, transmit, process, and retain those inputs as needed to provide the Service, respond to your authorized support requests, maintain security, and meet lawful obligations described in the Privacy Policy.

As between you and Vesk, you own generated output to the extent ownership rights exist under applicable law, and Vesk assigns to you any rights it may have in that output. This allocation does not create copyright where none exists, transfer another party’s rights, or guarantee unique output. Other users may receive similar output.

Review output for accuracy, security, licensing obligations, and third-party rights before using or distributing it. Third-party material remains subject to its own terms. We do not provide an output intellectual-property indemnity unless a separate signed agreement expressly provides one.

The operational license in this section does not authorize optional model training or central collection of customer content or metrics for an additional purpose. Such uses require the separate permission described in the Privacy Policy.

8 Plans and recurring billing

Your order or checkout states the plan, price, currency, billing frequency, included allowance, seat charges, and applicable taxes before you authorize payment. Subscriptions automatically renew for the disclosed billing period until cancelled. You authorize Stripe to process the recurring charges you approve. Subscription and payment information is available through the billing workflow. Any acknowledgment or notice required by applicable renewal law remains required.

Team plans require at least two members and a minimum of two paid seats. Each paid seat contributes the plan’s per-seat allowance to a shared team pool; eligible members draw from that pool rather than receiving separately reserved individual balances. Removing a member does not remove the two-seat minimum. Seat changes, their effective dates, and any charges or credits are presented through the applicable billing workflow. An authorized billing owner manages the subscription and financial records; team-administrator status alone does not grant billing authority.

You may cancel future renewal through the cancellation control in the billing portal. Contact support@vesk.app if you need help or that control is unavailable. Unless your checkout or mandatory law provides otherwise, cancellation takes effect at the end of the paid period and access continues through that period. Uninstalling the software or stopping use does not cancel a subscription. Account closure is separate and can end access earlier.

Where individual plan changes are offered, an upgrade is invoiced immediately with proration and keeps the existing billing-cycle date. A downgrade takes effect at the end of the current billing period. Review the amount and effective date before confirming. A price increase or material renewal change is subject to any advance notice, consent, cancellation opportunity, refund right, or reminder required by law. These Terms do not authorize undisclosed charges or waive mandatory renewal protections.

Payments are non-refundable except where your order or applicable law provides otherwise. Cancelling renewal does not refund the unused part of the current paid period. Statutory cancellation, withdrawal, refund, and other nonwaivable rights remain available. Report billing errors to support@vesk.app. A plan change or credit purchase does not authorize the automatic restart of previously stopped work.

9 Usage allowances and purchased credits

Included monthly allowance expires at the end of the billing period in which it is granted and does not roll over. Separately purchased credit packs expire 365 days after purchase, except where a longer period or redemption right is required by law. The purchase screen must disclose the applicable expiration. Credits are service-use balances, are not transferable, and cannot be redeemed for cash except as provided in these Terms or required by law.

Model requests consume usage according to the applicable plan and model rates. You pay for model usage, not a guaranteed verification result or a fixed number of successful runs. Generations and repairs can consume usage without producing usable code. Explicit acceptable-use refusals and no-cost classifier failures are not charged. A provider failure can still consume chargeable usage; contact us if you believe a charge is incorrect.

Usage indicators may show a percentage of an allowance. A percentage is not a disclosure of Vesk’s underlying provider cost and does not guarantee a particular number of requests, tokens, or successful outputs. Consumption depends on the model, request size, output, and repair attempts. Material changes to how prepaid usage is measured or priced will be disclosed before they apply and will not retroactively increase usage already incurred.

The prepaid service reserves credit before admitting a provider call. When available credit is exhausted, it stops admitting new calls rather than automatically continuing on postpaid overage. Already-admitted calls may finish and settle their actual usage. Buying additional credit or upgrading requires your separate action. Reservations and spending controls do not turn an unverified result into a verified one.

Cancelling subscription renewal does not cancel separately purchased credit packs or accelerate their expiration. You may continue to use an unexpired pack for eligible model usage without an active subscription, provided your account remains active and authorized to use the Service. A pack does not extend subscription-only feature entitlements. Account closure and service termination are addressed in Section 11. Usage and adjustment records are retained for billing integrity; corrections do not erase the underlying transaction history.

10 Teams and confidentiality

Team billing does not automatically share every member’s generated work. Where sharing is available, the owner must explicitly share a completed team run. Authorized active administrators of that team may then access the selected output. Personal runs and later outputs are not automatically included. A recipient may retain a copy already downloaded after sharing stops or membership ends.

Each party will use the other’s nonpublic business or technical information received through the Service only to perform this agreement or for another authorized purpose, and disclose it only to people and providers who need it for that purpose or as legally required. Each party will use reasonable care to protect that information. This duty does not cover information lawfully known without restriction, independently developed, lawfully obtained from another source, or made public without breach.

Legally required disclosure will be limited to what is required, with notice where lawful. Do not submit information that your organization prohibits you from sharing with Vesk or its providers. The Privacy Policy governs personal-information handling; an executed data-processing agreement governs processing within its scope and takes precedence over conflicting terms about that processing.

11 Suspension and account closure

We may suspend access to address a material breach, unauthorized use, nonpayment, a credible security or abuse risk, or a legal requirement. Where practicable and lawful, we will explain the reason and allow a reasonable opportunity to resolve a remediable breach. Immediate restrictions may be necessary to prevent harm or comply with law.

You may request account closure at support@vesk.app. Closure is an operator-assisted process that disables hosted access, cancels your personal subscription as part of processing the request rather than waiting for the paid period to end, and initiates applicable content removal. A shared team’s subscription requires action by an authorized billing owner; one member cannot cancel it on the team’s behalf. Resolve team ownership or billing transfers before closing the responsible account. Previously incurred charges remain payable.

Voluntary account closure ends access to unused allowance and purchased credits. Use any remaining balance before requesting closure if you want to use it. Such unused balances are non-refundable unless applicable law or your order provides otherwise. Cancellation of renewal alone is governed by Sections 8 and 9 and is not account closure.

We may discontinue the Service or terminate access subject to applicable law and any commitments in your order. Any refund or other remedy required by law remains available. Temporary suspension does not itself change a purchased pack’s expiration date. Billing corrections and any refunds are handled through support and the payment provider; they do not erase the original transaction record.

Account closure does not delete every record. The Privacy Policy explains retained billing identifiers, provider records, backups, and customer-held copies. Accrued payment obligations, ownership, confidentiality, permitted retention, dispute provisions, and liability terms survive to the extent their purpose requires.

12 Warranties and disclaimers

Except for express commitments in a signed agreement and rights that cannot lawfully be excluded, the Service and output are provided “as is” and “as available.” To the extent permitted by law, Vesk disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, unique output, successful verification, or suitability for physical deployment.

These exclusions do not alter the narrow factual meaning of a report under Section 4, excuse a false factual statement, or exclude mandatory consumer guarantees. If your jurisdiction does not allow an exclusion, it applies only to the extent permitted there.

13 Limits of liability

To the extent permitted by law, neither party is liable under this agreement for indirect, incidental, special, or consequential loss, or lost profits, arising from use of the Service. Subject to the exceptions below, each party’s aggregate liability arising out of or relating to the Service or these Terms is limited to the fees paid or payable by you to Vesk for the Service during the 12 months before the event giving rise to the claim.

The exclusions and cap do not apply to fraud, willful misconduct, gross negligence, your accrued payment obligations, or any liability that applicable law prohibits limiting. They do not eliminate a nonparty’s rights or exclude liability for death, personal injury, or property damage to the extent such liability cannot lawfully be limited. Mandatory consumer remedies are preserved.

14 Third party claims

To the extent permitted by law, you will defend and indemnify Vesk against third-party claims, damages, and reasonable defense costs arising from inputs you had no right to supply, your unlawful use of the Service, or your material breach of Section 6. This obligation does not cover claims to the extent caused by Vesk’s own breach, negligence, or misconduct and remains subject to Section 13.

Vesk must promptly notify you of the claim, reasonably cooperate at your expense, and allow you to control the defense with competent counsel. A delay in notice relieves your obligation only to the extent it materially prejudices the defense. No settlement may admit Vesk’s fault, impose a nonmonetary obligation on Vesk, or fail to release Vesk from the covered claim without Vesk’s consent, which will not be unreasonably withheld.

15 Governing law and disputes

Delaware law governs these Terms, excluding conflict-of-laws rules, except that mandatory protections of another applicable jurisdiction remain in effect. Please contact support@vesk.app to attempt to resolve a dispute informally. Doing so is not a prerequisite to seeking urgent relief and does not shorten or suspend a statutory deadline.

Unresolved disputes may be brought in a court with jurisdiction under applicable law. These Terms do not impose mandatory arbitration, an exclusive court venue, a class-action waiver, a jury-trial waiver, or a shortened limitation period. Any mandatory right to bring a consumer claim in your home jurisdiction is preserved.

16 Changes and general provisions

We may revise these Terms prospectively. The updated version will display its last-updated date. We will provide notice of material changes and obtain renewed acceptance where required by law. Changes will not retroactively alter accrued payment rights or a dispute that has already arisen. If you do not accept a material change, you may stop using the Service and cancel renewal; any mandatory refund right remains available.

An executed order or negotiated agreement controls to the extent it expressly changes these Terms. If a provision is unenforceable, the remaining provisions remain effective to the extent the essential agreement can continue. Failure to enforce a provision is not a waiver. Neither party may represent that it acts as the other’s agent. These Terms and any incorporated order or signed agreement constitute the agreement concerning their subject matter.
